These Terms and Conditions ("Terms") constitute a legally binding agreement between you and J2M Group LLC ("J2M," "we," "us," or "our"), a limited liability company organized under the laws of the State of Missouri, operating at www.j2m-group.com.
By accessing our website, subscribing to our services, or receiving SMS communications delivered through our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
J2M Group LLC provides an AI-powered missed-call text-back and customer engagement platform ("Services") to small and medium-sized businesses ("Clients"). Our Services enable Clients to automatically send SMS responses to individuals who call their business phone number and do not receive an answer.
The Services include:
J2M acts as a technology platform provider. Clients are responsible for the content, accuracy, and compliance of the business information used within the Service.
If you receive an SMS message delivered through the J2M platform, it is because you placed an inbound call to a business that uses our Services and the call went unanswered. Your call constitutes implied consent to receive a single automated text-back reply from that business.
The following terms apply to all SMS communications delivered via the J2M platform:
J2M complies with all applicable CTIA guidelines and A2P 10DLC carrier registration requirements for business messaging in the United States.
Businesses subscribing to J2M Services agree to the following:
J2M reserves the right to suspend or terminate any Client account that violates these Terms or applicable law without prior notice.
You agree not to use the J2M platform to:
Clients agree to pay the subscription fees associated with their selected service plan. All fees are billed monthly in advance unless otherwise agreed in writing. Payments are processed securely through our third-party payment processor.
All content, software, technology, trademarks, and materials comprising the J2M platform and website are the exclusive property of J2M Group LLC or its licensors and are protected by applicable intellectual property laws.
Clients are granted a limited, non-exclusive, non-transferable license to use the Services solely for their internal business purposes during the term of their subscription. This license does not include the right to resell, sublicense, or otherwise commercialize the platform or its underlying technology.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. J2M DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
J2M does not guarantee the delivery of any SMS message, as delivery is subject to carrier networks and factors outside our control.
To the fullest extent permitted by applicable law, J2M Group LLC, its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to lost profits, lost data, or business interruption.
In no event shall J2M's total liability to any Client exceed the total fees paid by that Client to J2M in the three (3) months preceding the claim giving rise to liability.
You agree to indemnify, defend, and hold harmless J2M Group LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
Either party may terminate the Services at any time. Clients may cancel their subscription by contacting J2M support. J2M reserves the right to terminate or suspend access to the Services immediately, without prior notice, for any violation of these Terms or applicable law.
Upon termination, your right to access and use the Services will immediately cease. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Missouri.
Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute informally by contacting J2M at the address below and allowing 30 days for good-faith resolution.
J2M reserves the right to modify these Terms at any time. When changes are made, we will update the effective date at the top of this page. For material changes, we will provide notice to active Clients via email or through the platform. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
